Echo Global Logistics, headquartered in Chicago, has signed an agreement to acquire ITS Logistics, a rapidly growing third-party logistics provider based in Reno, Nevada.
The acquisition will combine Echo’s technology-enabled transportation platform with ITS’s specialised solutions for complex supply chains.
ITS Logistics is recognised for its DropFleet drop trailer and trailer pool programme, as well as expertise in dedicated capacity, intermodal, drayage, omnichannel fulfilment, freight security, and sustainability-focused transportation strategies.
The deal is expected to create one of the leading North American logistics platforms, with pro forma 2025 revenue of approximately US$5.4 billion (€4.59 billion).
Doug Waggoner, Echo’s CEO, said the acquisition offers a strategic opportunity to apply Echo’s proprietary technology, advanced analytics, and AI capabilities to ITS’s solution set, enhancing network optimisation and real-time insight.
Echo’s platform leverages automation, machine learning, and AI to support pricing, capacity sourcing, shipment execution, and exception management.
Scott Pruneau, ITS Logistics CEO, described the deal as an opportunity to elevate service offerings by combining Echo’s truckload brokerage scale, managed transportation platform, and multimodal capabilities with ITS’s existing solutions.
ITS Logistics will continue operating with its current leadership and customer-facing structure, maintaining its people-first culture while benefiting from Echo’s carrier network and enterprise commercial capabilities.
The transaction is expected to close in the first half of 2026, subject to customary closing conditions and regulatory approvals.
Financial advisors on the deal included Goldman Sachs and UBS for Echo, with J.P. Morgan Securities and Jefferies for ITS. Legal counsel was provided by Kirkland & Ellis for Echo and Weil, Gotshal & Manges for ITS.
The acquisition positions Echo and ITS to deliver smarter, technology-driven logistics solutions across North America, supporting complex supply chains and growing demand for integrated transportation services.
